Terms of Service

These Terms of Service ("Terms") govern Your access to and use of Stooco (the "Service"), operated by IVR Technology Sdn Bhd ("Company", "We", "Us"). By creating an account, You agree to these Terms.

1. The Service

Stooco connects to Your Shopee, Lazada, and/or TikTok Shop seller accounts to synchronize product stock levels and orders across those channels, either on a scheduled polling basis or, on eligible plans, in near real time via each marketplace's webhook notifications.

2. Accounts and Trials

New accounts start with a 14-day free trial on the Growth plan. If no payment method is added by the end of the trial, Your account is restricted to read-only for new channel connections - marketplace connections already active continue syncing without interruption.

3. Subscriptions and Billing

• Plans are billed monthly or annually in advance via Stripe.
• You can upgrade, downgrade, or cancel at any time through the Billing Portal.
• If a payment fails, We will flag Your account and retry the charge; the Service is not interrupted immediately, but repeated failures may lead to cancellation.
• Upon cancellation, new channel connections and warehouse additions are restricted; existing marketplace syncs already in place are not automatically disabled.

4. Your Responsibilities

You are responsible for the accuracy of the product and inventory data You maintain, for complying with each connected marketplace's own seller terms, and for keeping Your account credentials secure. Stooco is a synchronization tool, not a marketplace - We are not a party to the sale contracts between You and Your buyers.

5. Marketplace Connections

By connecting a Shopee, Lazada, or TikTok Shop account, You authorize Stooco to read and write stock, product, and order data on Your behalf via that marketplace's official API. You may disconnect a channel at any time; disconnecting stops future syncing for that channel.

6. Service Availability

We aim for reliable sync but do not guarantee uninterrupted availability. Sync delays can occur due to marketplace API outages, rate limits, or maintenance, which are outside Our control.

7. Limitation of Liability

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages arising from Your use of the Service, including losses from overselling, missed orders, or sync delays caused by third-party marketplace APIs. 8. Termination

You may cancel Your account at any time via the Billing Portal. We may suspend or terminate accounts that violate these Terms or misuse connected marketplace APIs.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after a change constitutes acceptance of the updated Terms.
